1. Acceptance of Terms
By creating an account or using AssistDesk services, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions and our Privacy Policy.
2. Description of Service
AssistDesk provides AI-powered IT support services through our platform, including:
- Ticket creation and management
- AI-powered responses via Cait (Comprehensive AI Technician)
- Email integration for support communications
- Enterprise integrations with third-party platforms
- Analytics and reporting features
3. User Accounts
3.1 Account Registration
To use AssistDesk, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Account Security
You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized access or security breaches.
3.3 Account Termination
We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent, abusive, or illegal activities.
4. Subscription Plans and Billing
4.1 Plan Tiers
AssistDesk offers multiple subscription tiers (Free, Professional, Enterprise) with varying features and limitations as described on our pricing page.
4.2 Payment
Paid subscriptions are billed on a monthly or annual basis. Payments are processed through Stripe, our third-party payment processor.
4.3 Refunds
Subscription fees are non-refundable except as required by law or as explicitly stated in these terms.
4.4 Changes to Pricing
We reserve the right to modify subscription pricing with 30 days notice to existing subscribers. Continued use of the service after price changes constitutes acceptance of the new pricing.
5. Acceptable Use
You agree not to:
- Use the service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the service or servers
- Upload malicious code, viruses, or harmful content
- Abuse, harass, or threaten other users or our AI assistant
- Use the service to send spam or unsolicited communications
- Reverse engineer, decompile, or attempt to extract source code
- Resell or redistribute the service without authorization
6. Intellectual Property
6.1 Our Content
The AssistDesk service, including but not limited to the name "AssistDesk," the name "Cait," our branding, website content, software, and functionality, is proprietary and protected by applicable copyright and intellectual property laws. All rights are reserved. You may not copy, modify, distribute, or create derivative works without our express written permission.
6.2 Your Content
You retain ownership of content you submit to AssistDesk (ticket descriptions, communications, etc.). By using our service, you grant us a limited license to process, store, and display your content solely to provide our services to you.
7. Data and Privacy
Your use of AssistDesk is also governed by our Privacy Policy. We collect, use, and protect your data as described in that policy, which is incorporated into these terms by reference.
8. Service Availability
We strive to provide 24/7 service availability but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue the service for maintenance, updates, or other reasons with or without notice.
9. Disclaimers
9.1 No Warranty
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
9.2 AI Limitations
While Cait strives to provide accurate and helpful support, AI-generated responses may contain errors. We do not guarantee the accuracy, completeness, or reliability of any AI-generated content.
9.3 Third-Party Integrations
We are not responsible for the availability, accuracy, or content of third-party services integrated with AssistDesk (Microsoft 365, Google Workspace, etc.).
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASSISTDESK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY FOR ANY LEGAL CLAIM OR DAMAGES EXCEED THE AMOUNT YOU PAID TO ASSISTDESK IN THE 12 MONTHS PRECEDING THE CLAIM. This limitation applies to legal liability only and does not entitle users to refunds for services already rendered.
11. Sole Remedy
If you are dissatisfied with the service for any reason, your sole and exclusive remedy is to terminate your account and discontinue use of AssistDesk services. Upon termination, any active paid subscription will be cancelled and no further charges will be made. Fees already paid for services already rendered are non-refundable except as required by law. Your remedy is prospective termination, not retrospective refunds.
12. Indemnification
You agree to indemnify and hold harmless AssistDesk, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the service or violation of these terms.
13. Modifications to Terms
We reserve the right to modify these Terms & Conditions at any time. We will notify users of material changes via email or through the service. Continued use after changes constitutes acceptance of the modified terms.
14. Governing Law
These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which AssistDesk operates, without regard to conflict of law principles.
15. Dispute Resolution
Any disputes arising from these terms or use of the service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.
16. Severability
If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
17. Entire Agreement
These Terms & Conditions, together with our Privacy Policy, constitute the entire agreement between you and AssistDesk regarding use of the service.
